Liquid Concepts LLC respects and acknowledges the rights of an artist or owner of original artwork, rights of publicity, and trademark rights, and will not knowingly accept submissions of artwork which will infringe on the intellectual property rights of a person or entity. In addition, Liquid Concepts LLC reserves the right to reject any submission and refund any order which may defame a person or organization, or may be considered obscene under the laws of an applicable state or under common law.

By submission of your artwork (“the Artwork”) for the purpose of printing on a product sold by Liquid Concepts, you, as “the Customer,” are agreeing to the following:

1. The Customer represents and warrants that it is the owner of and controls all rights, title and interest in the Artwork; or
2. The Customer represents and warrants that he or she has obtained all the proper licenses, clearances and/or permissions from the owner of the Artwork;
   and
3. If the Artwork depicts a person, organization or logo, the Customer represents and warrants that he or she has obtained all the proper licenses, clearances and/or permissions from the person or organization with rights to, or related to, the Artwork;
   and
4. That the replication of the Artwork on the product sold by Liquid Concepts LLC to the Customer will not infringe on any valid rights of a third party or violate any law, including copyrights, rights of publicity, and trademark rights.

INDEMNITY AGREEMENT: In addition, by submission of the Artwork, you as the Customer agree to defend, indemnify and hold harmless Liquid Concepts LLC, its officers, directors, agents, employees, successors and assigns (“Liquid Concepts Parties”) against all costs, expenses and losses, (including reasonable attorney’s fees and costs), incurred as a result of all charges, claims, actions, liabilities, damages, judgments, losses and expenses of any kind or nature, which may be sustained or suffered by or secured against or incurred, directly or indirectly, by the Liquid Concepts Parties, arising out of or relating to allegations by a third-party of: (a) the exploitation or any other use of the Artwork (in whole or in part); or (b) relating to or as a result of the breach or alleged breach of Customer’s representations and warranties as set forth above in paragraphs 1-4. Customer agrees to reimburse the Liquid Concepts Parties on demand for any payment made or incurred by the Liquid Concepts Parties with respect to this Indemnity Agreement.
